Terms and Conditions of Event Attendance

The attendee, the attendee’s business, and the attendee’s guests (the “Group”) each agree to indemnify, defend, and hold harmless GlassParency (the “Host”) and the affiliates, directors, officers, employees, and agents of the Host each from and against any and all claims, liabilities, losses, costs, expenses including reasonable attorneys' fees, and causes of action of any person, including the host, based upon personal injury or property damage suffered by such person resulting from the Group’s: (i) negligent acts, omissions, or intentional wrongdoing; or (ii) violation of any applicable laws, ordinances, regulations, or rules.  Notwithstanding the foregoing, the indemnity obligations herein shall not apply to the extent that any such claims, liabilities, losses, costs, expenses are attributable to the negligence or willful misconduct of the Host.

The Group and the Host shall not be liable to another for any special, incidental, punitive or consequential damages, including lost profits, income or goodwill, regardless of whether or not such party has been advised of the possibility of such damages, caused by, resulting from, or arising out of attendance at this event, and each party hereby expressly waives such damages. Notwithstanding the foregoing, the parties agree that the limitations of liability set forth in the prior sentence shall not apply to the Group’s or Host’s (i) willful misconduct, (ii) gross negligence, (iii) breach of its confidentiality obligations herein, or (iv) indemnification obligations herein.  Attendee and/or attendee’s business agrees to indemnity and hold harmless the Host for any claims brought by an attendee’s guest unless subject to the exceptions listed above.
